Corporate Paralegal The candidate responsible for providing support and assistance to attorneys and teams within the Corporate Law Department as well as to other departments within headquarters and in the field, in the form of drafting documents, research, business communications, and performing some administrative work. Handle general corporate matters for our domestic subsidiaries, such as formations, mergers, conversions, dissolutions, qualifications, withdrawals and restructuring requests from our Corporate Tax department. Prepare corporate legal documents such as minutes, written consents, basic agreements, and officer certificates. Assist the Corporate transactional attorneys with mergers and acquisitions such as the preparation of closing resolutions, ordering and analysis of lien searches, and handling all post-closing corporate housekeeping matters. Maintain the corporate records for our Delaware holding companies; prepare the quarterly meeting materials and attend quarterly meetings held in our Wilmington office. Act as additional point of contact for the legal and business teams in our domestic and international offices in need of assistance with various corporate requests and filings. Provide assistance to the Shareholder Services Department with respect to various communications from shareholders, related tasks in connection with the annual meeting of shareholders, and miscellaneous matters involving our transfer agent. Use, update, and run reports from our legal entities database which stores a wide variety of corporate information for each of our subsidiaries, such as key dates, past names, legal ownership, officer and director information, fictitious names, qualifications, merger information, etc. Handle special requests for the Corporate Compliance Group with respect to the Company’s compliance program, the Code of Conduct and related policies, and/or integrity training modules. Assist with miscellaneous special projects. Regular, consistent and punctual attendance. Must be able to work nights and weekends, variable schedule(s) and overtime as necessary. Bachelor’s degree or Equivalent is required. Paralegal Certificate is required. Should preferably have 3-5 years’ related experience.
