Paralegal/Legal Analyst Duties: Assist senior attorneys in handling documentation and certain due diligence matters associated with public finance transactions. Review, analyze and negotiate points on various transaction documents, including underwriting agreements, purchase contracts and confidentiality agreements. Responsible for ensuring such documents comply with standards. Identify legal and franchise risks associated with documentation that bankers and outside counsel may not anticipate. Assist in the review of governmental requests for proposal (RFPs) and the preparation of responses to legal and regulatory questions in such RFPs. Paralegal will be expected to become familiar with (i) standard responses to RFP questions, (ii) active litigation and regulatory matters, and (iii) resources within Citi that can provide answers to RFP questions. Answer procedural, policy and other questions from bankers, outside counsel, etc. Will be responsible for negotiating and explaining important legal and franchise issues directly with outside/opposing counsel, the financial advisors of Citi’s municipal clients and the banking team.
Qualification and Experience
Qualifications: B.A or B.S. from an accredited 4-year college or university. G.P.A. 3.5 or better. Previous transactional experience as a paralegal at a large or regional law firm a plus. Requires the ability to understand complex transactional issues. Requires a detail-oriented person with the ability to juggle multiple matters simultaneously. Good interpersonal and communications skills are required.
