Assistant General Counsel, Corporate


Based in Houston, Texas, this position has responsibility for PROS day-to-day corporate legal work, developing best practices related to corporate governance, alliances and procurement, and leading strategic corporate transactions.  This position will report directly to PROS General Counsel, and must be able to work collaboratively with team members across disciplines to develop a thorough understanding of PROS business and devise practical legal solutions to allow PROS business leaders to move quickly while ensuring compliance with applicable US and international laws, NYSE requirements, and company policies and practices.

A Day in the Life of the Assistant General Counsel, Corporate: About the role:

  • Establish trusted advisor relationships with PROS senior management, providing legal and strategic business advice to support a broad spectrum of internal business functions.
  • Develop and manage legal team members to scale in support of PROS rapid business growth globally.
  • Lead complex commercial, corporate and technology transactions in a fast-paced environment that places a strong premium on ownership, integrity, innovation, and teamwork.
  • Have direct responsibility for preparing and filing of periodic SEC reports on Form 10-K, Form 10-Q, & Form 8-K, as well as proxy statements, registration statements, Section 16 filings, & other disclosures.
  • Maintain current knowledge on legal developments relevant to enterprise cloud software providers to anticipate potential challenges and develop mitigation strategies in advance.
  • Review and advise, in conjunction with outside subject matter experts, on processes and procedures for tracking and complying with regulatory requirements, including global data protection and privacy laws.
  • Manage corporate governance and related compliance matters, including board support, annual stockholder meeting, annual reports, and developing and maintaining corporate policies, records and other governing documents to ensure compliance with applicable laws and regulations.
  • Drive legal departmental strategic initiatives, including process redesign, client empowerment tools, contract programs, playbooks and templates, and the use of technologies to increase efficiencies.
  • Provide pragmatic judgment, particularly in determining the significance of legal matters and effectively measuring and balancing legal and business risks to solve day-to-day issues.
  • Take initiative, embrace ambiguity, and have a proven knack for thinking outside of the box in confronting new issues and pursuing novel approaches problems.
  • Lead special legal projects, providing risk-aware, actionable counsel on corporate development, international expansion, capitalization and other strategic initiatives, including overseeing due diligence, negotiating definitive agreements, and managing post-close integration efforts.
  • Model PROS culture and ensure that PROS meets all applicable legal requirements.

Required Qualifications - About you:

  • A JD with 10 to 15 years of corporate experience at either a mid-size to large law firm and/or publicly traded company, with 5 years of directly relevant experience at a publicly traded company.
  • Deep familiarity with SEC regulations applicable to publicly-listed companies, including direct responsibility for ’34 Act reporting
  • 5+ years experience advising business leaders on a broad range of legal topics, including compliance, commercial, corporate development, data security, employment, ethics, dispute resolution, immigration, intellectual property, and/or marketing
  • Relevant experience in commercial, corporate governance and corporate finance matters, including in-depth experience in structuring and negotiation strategy
  • Developed business acumen, with ability to understand PROS business, anticipate issues that could arise in various settings, assess risk, and provide practical, creative and concise business-focused advice.
  • Intellectually curious about technology and energized by the challenges of advising a high-growth publicly traded tech company
  • Experienced in managing attorneys and legal staff, as well as outside counsel relationships and budget.
  • Exceptional analytical and problem-solving skills, meticulous attention to detail and executive communication skills
  • Ability to remain flexible in dynamic, complex, and sometimes ambiguous business environments
  • Outstanding drafting skills with hands-on experience leading corporate and commercial transactions in a fast-paced environment
  • Experience leading and mentoring a team focused on helping internal clients outperform
  • Admitted into and in good standing with at least one state bar
  • Ability to travel up to 20%

Preferred Qualifications:

  • In-house experience for a high growth public company (preferably an enterprise cloud software company)
  • Proven experience developing junior attorneys and legal staff
  • Experience in enterprise risk management and evaluation, including corporate insurance programs
  • Working knowledge of privacy (including GDPR & CCPA), cybersecurity, intellectual property, and marketing regulations/laws (e.g. consent/opt-in requirements)
  • International experience, such as expanding into new countries, managing tax issues, transfer pricing, international employment laws and the localization of contracts and legal operations
  • Business fluency in one or more foreign language(s)
  • Undergraduate degree in business, finance, engineering or computer science
  • Admitted to the Texas bar.
