Corporate Paralegal The candidate will support the legal team with all legal matters for companies, specifically with corporate contract review and editing. Duties: Review/edit Broker agreements; Assisting the reviewing/editing of Transportation Agreements and contractual documents; Proofread accepted/rejected changes/edits to Transportation/Broker Agreements from other Party; Serve and file documents with court; Preparation of various documents for attorney review including demand letters, Summonses & Complaints, Affidavits, Motions, Orders, Liens, Deeds, Purchase Agreements, prepare presentation binders for various corporate meetings; Organize, file, manage, and maintain files and status of legal actions and contracts of all types including buy/sell, merger and acquisition, licensing, leasing, corporate minutes, transportation, broker, interchange, confidentiality, vendor, IT, broker arranger, and other corporate contracts and documents; Meet with appropriate persons regarding case/file openings and collections; Communication with various divisions regarding collection accounts, status of contracts and other legal projects. Assist General Counsel in Management of legal matters of a parent corporation, and its divisions and departments, and wholly-owned subsidiaries and separately owned corporations Research companies/individuals regarding bankruptcies, incorporation/organization status, decisions, statues, codes, legal articles. Collections: send demand letters, communication/negotiation with debtors to resolve past due accounts. Scheduling/communication/coordination with Process Servers, Depositions, and Court reports and providing general litigation support. Special projects assigned by General Counsel. Answer calls when needed for General Counsel, arrange travel/accommodations, CLE classes, manage calendar for appointments, create TO DO lists of priorities such as Contracts to help General Counsel stay organized. Copying, scanning, faxing, emailing, shredding, typing, phones. Additional duties as assigned.
Qualification and Experience
A High School diploma or equivalent required. An Associate of Arts degree in Paralegal studies or a Paralegal certificate is highly preferred. Should have ability to manage time effectively, a willingness and desire to learn the transportation industry, general knowledge of Microsoft Office, and excellent written and verbal communication skills. Must be able to work both independently as well as in a team setting, across all levels of the organization. 3-5 years of experience as a paralegal is preferred, with some experience in a corporate setting reviewing and editing corporate contracts and in account collections. Should have judgement/Strong decision making, analytical abilities, active listening, critical thinking, and deductive reasoning skills. Must have excellent interpersonal relationship skills.
