A law firm seeks a mid-level Associate Attorney with at least three years of experience to join its Business Group in New York City, NY. This role involves advising both startups and established businesses on complex transactions, including entity formation, governance, and capital raises. The successful candidate will collaborate across multiple offices, providing clients with strategic insights and solutions for various industry sectors.

Duties

• Guide clients on entity selection, formation, and governance structures suited to their business needs.
• Support daily legal and operational matters for small to large companies.
• Lead and oversee capital raise transactions, including private offerings, and debt/equity financing through angel investors, venture capital, syndicates, and traditional banks.
• Provide legal advice on public company issues, capital markets, and mergers and acquisitions (M&A) as required.
• Work closely with other attorneys across multiple offices to deliver comprehensive, client-focused solutions on business transactions.

Requirements

• Experience: 3+ years in corporate governance, entity formation, and capital raises; additional experience in public company matters, capital markets, or M&A is preferred.
• Academic Credentials: Strong academic background with a JD from an ABA-accredited law school.
• Licensing: Active license to practice law.
• Skills: Strong analytical, organizational, and legal writing abilities.
• Client Focus: Client-centered approach with excellent communication and interpersonal skills.
• Teamwork: Ability to work collaboratively in a diverse, supportive team environment.
• Project Management: Capable of managing multiple projects efficiently.

Education

• Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications

• Active law license required.
