Profile

Contracts Specialist Responsibilities: Prepares and drafts, reviews, and negotiates a wide variety of commercial contracts (e.g., service agreements and confidentiality agreements) and supports attorneys in connection with the client and/or third-party arrangements. Advises on commercial contracting requirements as well as legal contracting requirements (e.g., intellectual property rights, data privacy laws, and requirements). Collaborates with team members to develop more effective and efficient ways to review and negotiate agreements or address new issues (e.g., master consulting agreements) Supports clients on contract-related issues in collaboration with or under the direction of attorneys. Develops and maintains standard form contracts and related documents. Maintains databases for contract compliance matters, including a system to track whether contracts have been executed, with a reminder system for any required follow-up. Works with other members of the Department on projects in support of broader initiatives. Provides backup to attorneys on other contract-related responsibilities.

Qualification and Experience

Qualifications: College graduate or J.D. with excellent academic credentials. 1-3+ years’ experience drafting, reviewing, and negotiating commercial contracts in a sophisticated environment. Adaptable, motivated, hard-working self-starter who works independently, effectively prioritizes workflow, drives to completion, is highly responsive, and consistently delivers high-quality results across multiple assignments under tight timeframes. Demonstrated ability to draft, revise and negotiate contracts such as the ones noted above. Highly effective communicator who listens actively conveys information clearly and succinctly in writing and verbally, and translates complex legal concepts into actionable advice. Ability to think critically to identify issues and offer pragmatic, actionable solutions. Outstanding interpersonal skills, including responsiveness, clear and effective communication skills, and the ability to form strong relationships with internal teams. Team player who pitches in collaborates effectively within cross-functional teams, proactively builds collective knowledge and capabilities, and seeks continuous improvement. Excellent organizational skills and judgment. Willingness and ability to learn about new laws and concepts, and internal policies, guidelines, and best practices.
