Commercial and Sourcing Counsel The candidate will provide support to the functions primarily involving Commercial and Sourcing as well as provide support for other matters globally for the company. Will report to the Vice President - Corporate Law and Finance. Create, continually update and maintain effective and efficient transaction processes (covering legal, business and staff function areas). Ensure that the Sourcing and Advanced Manufacturing Groups avoids legal surprises and that leaders are fully briefed on all relevant legal issues. Provide sound, practical legal advice and counseling for commercial work within Roofing, Insulation and Composites businesses. Review, execute and manage contracts in accordance with the Corporate Levels of Authority Policy and other corporate policies of the company. Review and analyze all legal issues to ensure that appropriate subject matter experts are engaged when necessary. Build commercial legal expertise for issues relating both internally and externally to the company that supports and anticipates legal challenges, opportunities and trends on a global basis. Communicate developments and/or issues to business counsel as needed. Assist on special projects, as needed. Have primary responsibility for the execution of company's legal strategy, including the identification and clear communication of legal risks and the execution of appropriately risk mitigation strategies. Provide oversight for the negotiation, review and drafting of commercial agreements/transactions affecting company Business. Serve as the first line of defense for all legal issues pertaining to company. Identify marketing concerns and bring these matters to timely closure by providing legal advice and/or services or bringing to the attention of the appropriate business counsel. Review print and online marketing collateral from internal clients and external partners. Provide guidance and training to company employees with respect to our marketing and brand strategy. Know the company and its markets and apply legal expertise and trends to build competitive advantage and Shareholder Value.
Qualification and Experience
The candidate should have a law degree and Bar membership in at least one state. Must have 3+ years of experience working as an attorney in either a law firm or corporate setting. Experience supporting or working for companies who sell products used in manufacturing is preferred. Experience/working knowledge in the following areas: sourcing, commercial contracts, consumer, corporate, marketing, and real estate law is desired. Experience/working knowledge in any of the following areas: antitrust, compliance, export, franchising, and M&A is an asset.
