ProfileCorporate Paralegal The candidate will provide support to the General Counsel (GC), the Senior Corporate Counsel (SCC) and Associate Corporate Counsel (ACC) on all corporate legal matters. Oversee Board and Committee meeting schedules. Assist with preparation of packages for all Board and committee meetings, including preparation of Board resolutions. Maintain director meeting attendance records and non-employee director compensation. File and track board packages, board minutes and board actions. Provide inside counsel (including Regional Counsel) and outside counsel with organizational documents, minutes, certificates, etc., and other assistance in connection with deal closings. Assemble diligence materials for inspection (whether on an ftp site or otherwise). Prepare Secretaryâ€™s Certificates and Delegations of Authority. Perform legal research and due diligence as requested. Administer insider trading compliance and SEC Section 16 compliance, including pre-clearance procedures, reporting insider trades on Forms 3, 4 & 5. Assist with the approval and documenting of equity awards and tracking of vesting. Track beneficial ownership of insiders and filings forms. Assist with documenting, filing and tracking transfers, pledges and redemptions of OPUs. Draft and file organizational documents for corporations, partnership and LLCs. Maintain minute books and ensure continued good standing of all entities. Maintain Entity Tracking Database, preparing and updating ownership schematics for each entity and the organization as a whole. Maintain Corporate Compliance and Dividend Calendar. Work with the companyâ€™s transfer agent and assist with administering dividend payment process. Prepare department budget, track spending versus the budget, and prepare accruals and forecasts. Administer billing from outside counsel, registered agents and other third parties. Track new and pending legislation. Act as intermediary between the Corporate Legal Department, on the one hand, and the Finance, Accounting, Insurance, Payroll and/or Tax Departments as needed. Perform other duties as assigned by the GC, SCC and ACC from time to time.
Qualification and Experience
The candidate should have a minimum of a BA/BS. A minimum of three to five(3-5) years of experience in a legal department is preferred. Paralegal certificate is preferred. Experience with REITs is preferred. Strong analytical skills. Strong drafting and oral presentation skills. Proven initiative and demonstrated skills for organization and multi task prioritization. Ability to work in a fast paced entrepreneurial environment. Ability to work independently, as well as part of a team. Ability to adapt to changing demands. Effective problem solving skills.
