Contract and Negotiation Specialist The candidate performs contract negotiations, administration, and project management activities for a wide variety of contracts and sales and support-related activities. Develops pre-negotiation strategy and position. Under the direction of legal counsel and/or Senior Contract and Negotiation Specialists, conducts negotiations with select prospects, prepares contract documents, obtains required approvals, and distributes contracts. Conducts debriefings with sales teams and legal counsel describing the strengths, weaknesses, and risks of the proposed terms. Monitors contracts for potential problems and recommends innovative methods to deal with the issues that are beneficial to both the prospect and Rackspace. Conducts pre-proposal conferences and assists sales teams with answering questions and clarifying requirements for potential customers. Assists in negotiations as needed and in accordance with legal counsel. Notifies sales, legal, and other supporting functions of potential contractual problems and brings closure to the negotiation. Assists with contract negotiation, drafting, and management, and, when necessary, seeks approval for, a wide variety of agreements, including sales and support-related agreements, channel partner agreements, and NDAs. Helps drafts non-standard agreements for attorney review and approval. Interacts with various internal groups and personnel to facilitate win-win situations. Assists legal counsel and Senior Contract and Negotiation Specialists by providing input on agreement-related terms / negotiations, and minimizes delays in agreement processing / negotiation. Supports legal team with other contracting activities related to sales and support, as required. Must have a High school diploma or equivalent required. JD degree, Paralegal certification, or Bachelor's of Business Administration is required. Must have 0-2 years of contract and negotiations experience w/ JD degree. Should have 2-4 years of contract and negotiations experience w/ Paralegal certification or BBA. Must have strong knowledge of the contracting process, sales, and the services and activities of contract negotiations. Knowledge of principles and practices of negotiations and contract compliance is required. Ability to negotiate and/or draft legal agreements and prepare clear and concise reports is required. Must have strong proficiency in technology, including the internet, Email, Adobe, and Microsoft Office applications, especially in Word, Excel, and PowerPoint.
