ProfileCounsel, Credit and Bankruptcy The candidate will advise business unit credit teams on all matters relating to trade credit and other financings, including secured and unsecured transactions, other credit enhancements and general corporate and commercial matters. Draft, review and negotiate trade debt instruments, loan documents, security agreements, subordination agreements, and other agreements to manage risk and protect credit exposure. Advise on dispute management and oversee enforcement and collection activities of the business unit credit teams, including collections litigation. Advise on the legal aspects of credit-related policies, projects and initiatives. Serve as the first line of contact for customer/supplier bankruptcies. Understand key customer and supplier relationships to monitor potential credit and insolvency risk. Assist acquired companies with the integration into the firm's of the credit and bankruptcy functions. Develop and update templates, policies, and processes for streamlining review and negotiation, and advise on best practices. Participate in the design and provision of training to internal teams. Provide legal support for firm's corporate debt and credit matters, hedging/derivatives, guarantees, banking agreements and other Treasury projects as needed. Should have 8+ years of experience providing legal counsel to clients. Must have 6+ years of bankruptcy and/or credit transactions experience. Law firm experience required; in-house experience highly preferred. Should have JD Degree with excellent academic credentials. Must be member of a state Bar in good standing.
