ERISA/Executive Compensation
4-5 yrs required
Assistant General Counsel, Executive Compensation Duties: Handle executive and director compensation and Section 16 compliance and reporting for the Board and Executive Officers. Act as meeting secretary for the Compensation Committee. Assist with the preparation of the Compensation, Discussion and Analysis (CD&A) section of the Company’s proxy. Have oversight (including preparation of applicable documentation) of 10b5-1 trading plans. Assist with executive compensation and equity compensation administration as needed including stock and incentive plans and related agreements. Manage and lead policies and positions on high profile issues regarding executive compensation issues and anticipate response from regulators, shareholder rights groups, the media and general public. Work with other practice members in supporting our global HR and Finance colleagues as they manage existing benefit programs and evaluate and implement new benefit programs. Advise ERISA fiduciaries and their delegates on meeting their obligations under ERISA. Advise business leaders regarding benefits and executive compensation risks in connection with mergers and acquisitions. Manage complex and sensitive projects and with cross-functional teams.
Qualification and Experience
Qualifications: Law Degree with 4-5 years of Executive Compensation experience. Proven experience interfacing with Executive Committee and Board of Directors members. Superior presentation skills. Solid communications skills, both written and oral. Similar experience working in a top-tier law firm or in a large, complex multinational enterprise. Be a team player in our fast-paced Benefits & Executive Compensation practice with global responsibilities. Be able to operate independently within our legal department’s collegial, collaborative culture.
