Senior Corporate Paralegal The candidate will prepare corporate documents including secretary certificates, officer and director appointments, resolutions, minutes and other documentation related to corporate secretarial requests. Will prepare documentation for formations, amendments, annual filings, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies Assist with preparation of SEC filings (Forms 3, 4, 5 and 8-K). Review, edit and comment on agreements drafted by others (e.g. business clients and counterparties). Analyze contracts, leases and other legal documents to summarize key data. Assist with preparation of acquisition documents and closing books. Perform legal and other research as requested. Review and process legal invoices. Manage domestic and international trademark, copyright and domain name portfolios. Manage electronic file organization and document management for Legal Department. Perform general administrative tasks, including answering phones, scheduling meetings, making travel arrangements, and preparing timesheets and expense reports. Bachelor’s Degree and completion of an ABA-approved paralegal program is preferred. Should have 7+ years of paralegal experience, preferably as part of an in-house corporate legal team. Outstanding verbal and written communication skills to effectively work with various departments and levels within company is needed. Strong Microsoft Office (Word, Excel, PowerPoint, Outlook), as well as working knowledge of hCue and Visio is needed.
