ProfileMid level Corporate Counsel The candidate will provide commercial legal support and advise on legal issues associated with complex product and services commercial transactions with customers, vendors, distributors and other third parties, acting as a valued business partner and working closely with firm legal team colleagues to provide seamless legal support to clients.Will report to firmâ€™s Assistant General Counsel and Regional Compliance Officer. Handle the day-to-day review, structure, draft, negotiation and implementation of complex commercial agreements to achieve acceptable risk levels. Such agreement types include, but are not limited to, simple to complex product and/or service purchase contracts or transactions, distributor, MSA/MPA, reseller, teaming, subcontractor, transportation, LOIs/MOUs, NDAs, RFQs and RFPs containing terms and conditions, credit terms and conditions, and other procurement and purchasing agreements. Provide practical legal counseling and guidance on a broad range of commercial matters to internal business customers. Analyze transactions and legal principles into practical, innovative, creative and workable solutions. Summarize and prepare risk summaries for review and approval by executive management. Provide guidance and leadership to the North American Contract Management Team on the review, negotiation and drafting of commercial agreements and transactions. Foster strong relationships with the various business segments and functional departments, and develop a deep understanding of their strategies and objectives to better serve their needs. Ensure that company form agreements and templates, as well as contract negotiation playbooks, and legal and business processes are up to date with respect to applicable laws/regulations and best practices. Claims counseling Manage commercial claims with in-house and outside counsel while minimizing cost and risk. Provide counseling to the business on commercial claims. Provide and develop preventative education and training in the areas of commercial law, firmâ€™s contract review processes and risk management.
Qualification and Experience
The candidate should have 6-10 years of substantial hands-on commercial legal experience, combined experience in a major law firm and/or in-house legal department, with a focus on complex product and services commercial contracts or transactions. Must have strong legal and analytical skills as a commercial attorney, the right candidate will possess excellent communication and interpersonal skills and an ability to interface with a broad range of senior business managers, executives, and other colleagues and professionals. Must be experienced corporate attorney with sound legal and business judgment and the following qualifications. Should have JD degree from a reputable, accredited U.S. law school, and active U.S. Bar membership required. Must have 6-10 years of in-depth commercial legal experience, combined experience in a major law firm and/or in-house legal department, with a focus on complex product and services commercial contracts or transactions. Extensive drafting and negotiating skills and experience, and deep knowledge and understanding of U.S. commercial law is essential. Experience and knowledge of Canadian commercial law is a plus. High-level writing and drafting skills are critical. Should have superior English oral and written communication skills. Fluency in Spanish is a plus.
