Lead Counsel, Mergers and Acquisitions The candidate will lead and support all legal aspects of transactions of varying degrees and nature across the company. Will manage an active M&A portfolio and antitrust matters. Work collaboratively across a broad range of people developing and maintaining strong working relationships between legal, finance, human resources, investor relations and other functions to facilitate a team based approach. Provide strategic guidance and support to senior leadership in connection with a variety of complex transactions and sensitive legal and business issues. Optimize the value received by internal clients and minimize the Companyâ€™s risk of exposure to liability by proactively partnering with business leaders. Develop long and short-term solutions that take into account the current and future needs of the business. Build a cohesive and collaborative relationship with corporate executives and legal colleagues across the globe. Exercise sound business judgement to achieve a pragmatic balance between the legal function and the Companyâ€™s strategic objectives. Manage the selection and oversight of outside counsel, control and appropriately manage legal costs. Collaborate closely with other members of the U.S. and International Legal Teams to assure that issues are fully explored and addressed. Take leadership roles on specific initiatives, projects or goals. Delegating, obtaining resources, and/or taking actions that move projects to closure while maximizing personnel and business unit effectiveness. Effectively and cost efficiently managing and directing outside counsel as needed to support execution of projects, transactions or matters. Provide training and guidance to other attorneys and support staff and to the business in the legal and regulatory regime affecting the Company. Mentor team members and assisting in their career development. Contribute substantially to attracting, developing and retaining employees. Draft and review as needed confidentiality agreements, bid letters, engagement letters, term sheets, acquisition agreements, equity commitment letters, debt financing documents and other deal documents. Work with deal teams and leadership to identify opportunities and balance risk. Coordinate and drive the deal cycle and needed professionals both, internally and externally, to achieve thoughtful and successful results. Juggle simultaneous deals and priorities. Proactively communicate and manage expectations with multiple constituencies. Must hold a law degree and will have obtained an undergraduate degree from a college or university of recognized standing. Must be licensed in good standing to practice law in at least one state and one federal jurisdiction within the United States without any instances of suspension, revocation, censure or other adverse events in any jurisdiction. Should have a successful track record of experience, ideally gained in a combination of working in a major law firm and in-house corporate legal department. Prior work experience with a MedTech company is preferred. A seasoned, successful and proven M&A Attorney with significant mergers & acquisitions and deal related experience within a public company is needed. Extensive and sophisticated mergers & acquisitions training and experience with a top tier law firm is essential. Ideally brings a combination of both law firm and in-house. Additional exposure and experience from the healthcare industry, parameters and implications are highly desirable. Experience handling equity transactions, asset purchases, stock purchases, joint ventures and other transactions are needed. Excellent organizational, analytical and communication skills, oral and written is needed. Solid understanding of securities, corporate and competition law is needed. Good understanding of transaction structuring, such as tax and accounting is essential.
