Corporate Counsel Duties: Provide legal advice to Granite Corporate and Operations Departments on litigation and transactional matters arising from day-to-day issues to identify and resolve legal issues consistent with Company policies and procedures. Analyze, summarize and make suggested alterations to contracts and other transactional matters including construction contracts and subcontracts, real estate purchase and sales agreements, leases and bid documents, to minimize risk and satisfy Company requirements prior to execution of such instruments. Review and analyze proposed business transactions in light of Company policies and guidelines and applicable law and advise and assist management and other personnel on findings to ensure legal conformance and compliance with corporate strategy and policies. Draft, revise and maintain Company standard form agreements in order to ensure that the agreements are in compliance with current laws and legal precedent, and internal corporate policies. Assist members of the legal department in resolving issues in a timely manner consistent with Company policies and procedures. Anticipate and mitigate potential legal problems within the organization and develop strategies to avoid costly litigation and reduce potential areas of risk in order to minimize the Company’s risk exposure and costs. Research and analyze the law on complex issues and communicate findings through written memoranda or other vehicles to a supervising attorney or organization’s management. Coordinate, assist, and advise Company departments, including management, accounting, tax department, IT department, equipment, and insurance to ensure that applicable regulations are complied with and to mitigate risks. Lead and direct the work of members of the Legal group to ensure conformance with Company strategy and policies. Provide counsel to Granite operations personnel to ensure that decision-makers are fully informed about potential risk factors as part of the decision-making process.
Qualification and Experience
Qualifications: A juris doctorate (JD) from a recognized law school is required. 5+ years’ experience in a law firm or corporate legal department. Experience in the areas of contracts, litigation, and real estate. Experience in implementing new products, services, and procedures. Knowledge of construction concepts, practices, and procedures is required. Strong leadership, verbal, and written communication skills. Demonstrated strong project management skills. Strong research and analytical skills. Attention to detail and accuracy. Ability to manage multiple tasks simultaneously under tight deadlines. Ability to work independently. Excellent collaboration and diplomatic skills. Ability to break down problems into meaningful parts and come to rational and well-thought-out conclusions. Interest in process improvement. Willingness to adapt quickly to quick changes in direction. Internally motivated to see out answers, generate ideas and develop new skills. Ability to work well with all levels of staff as well as external customers.
