National Retail Properties is growing and seeking to add a part-time Corporate Paralegal to our corporate team in Downtown Orlando.

 

National Retail Properties is seeking a Corporate Paralegal to provide legal and administration support to in-house counsel and managing paralegal, which may include forming, maintaining and dissolving different types of entities, maintaining confidential director and officer information, preparing board books and maintaining board book portal, administrative support for documents and activities related to board of directors and committee meetings, corporate record keeping, and working with other members of the legal team on special projects.

KEY RESPONSIBILITIES

  • Prepare and file formation/qualification and dissolution/withdrawal documents for all corporate entities in jurisdictions throughout United States.  Keep database of all entities and corporate entity chart and distribute the same to outside counsel, insurance advisors and other parties as needed.
  • Assist General Counsel in keeping corporate records, including governance book, and board books.
  • Obtain good standing certificates for closings and debt and equity offerings.
  • Manage all business licenses required in all state and local jurisdictions for the company to operate.
  • Manage confidential director and officer information,
  • Manage governance policies and compliance processes, including gathering signatures, mailings and filings.
  • Handle the planning and logistics for Board and Committee meetings and the Annual Stockholder meeting.
  • Draft agendas, minutes, resolutions, and written consents for Board and Committee meetings.
  • Draft PowerPoint presentations for Board and Committee meetings.
  • Attend Board and Committee meetings and assist Secretary at those meetings.
  • Draft and distribute Board and Committee minutes.
  • Manage drafting of Performance Surveys for the Board and the collection of the survey data from all board members.
  • Manage deliver and collection of the D & O questionnaires working with outside corporate counsel.
  • Manage Board Book portal – collection and entry of materials into the portal, and granting access to the portal. 
  • Interact directly with Board members and Executive Officers on wide variety of corporate and board matters, including maintaining contact information, meeting schedules, and notices.  Coordinate signature of documents, minutes and resolutions.
  • Prepare Annual Written Affirmation for filing with NYSE Listing Manager.
  • Oversee the preparation and distribution of Board evaluations working with in-house counsel and outside corporate counsel.
  • Working with In-House Counsel and Corporate Communications on Annual Shareholder Meeting agenda and presentation.
  • Assist with delivery of pertinent data to new board members as part of the on-boarding process.

EDUCATION AND/OR EXPERIENCE

Bachelor’s degree (B. A.) from four-year College or university and five to 10 years related experience and/or training; or equivalent combination of education and experience.

 

CERTIFICATES, LICENSES, REGISTRATIONS

Paralegal certificate highly preferred

ADDITIONAL INFORMATION

  • Non-exempt position.
  • Typical work week 25 hours with additional hours as needed during peak periods.
