Corporate Paralegal The candidate will assist in all legal affairs, including: corporate governance; SEC/NYSE reporting and compliance; acquisitions, divestitures, debt/equity financing and other strategic transactions; contract management; FDA/USDA regulatory compliance; labor and employment; litigation management; compliance and ethics; and investor relations. Support the corporate governance function, including assistance with the preparation, distribution and maintenance of board materials and minute books for firm and its subsidiaries. Assist with the preparation of annual meeting materials, including the proxy statement. Create first drafts of form agreements and other documents for review by supervising attorneys. Assist with respect to strategic transactions, including acquisitions, divestitures and debt and equity financing. Maintain transaction checklists, including due diligence checklists. Track and monitor progress of transition and integration milestones. Liaise with internal business groups and/or target businesses with respect to due diligence requests, production and review and otherwise assist with due diligence matters. Prepare initial drafts of certain transaction documents, including certificates and resolutions. Assist with transaction closings. Assist with SEC reporting and corporate governance issues. Assist with food regulation, label review and product guaranty and hold harmless agreements. Assist with marketing and advertising claims review. Assist with legal document production. Assist with stock plan administration. Assist with patent and trademark maintenance. Assist with document management and records retention compliance. Assist with processing external counsel invoices, including interfacing with external counsel and the Accounts Payable Department. Provide other administrative support to the Legal Department.

Qualification and Experience

The candidate must have Bachelor’s degree. Post secondary education is a plus. Should have 3-5 years experience as a corporate paralegal within the CPG/Pharma industry. Excellent inter-personal and oral communication skills is needed. Strong knowledge in Microsoft Office products including Word, Excel and PowerPoint is must.
