Services Counsel - Applied Intelligence Platform Responsibilities: Prepare and execute a legal support plan in support of the Business strategy and work with the Business leadership team as a trusted advisor in order to enable Business strategy. Develop clear communication messages, guidance, templates and trainings regarding the offerings for sales and go to market teams, offering development teams, technical teams and the rest of the Legal organization (Contracting and CORE). Work with the Business teams to evaluate and prepare new offerings for market, with varying deal structures that include consulting services, software as a service, licensed software (including mobile apps), and third party data in different geographies, industries and regulatory environments. Learn and understand the technology related to the offerings well enough to perform all legal roles related to the offering. Review, draft, and negotiate complex alliance, academic, and supplier technology transaction agreements, including collaborating across CORE. Manage the performance of and coordinate the efforts and workload of direct reports, temporary staff, and other internal legal support staff, including cultivating positive morale and providing inspirational leadership. Develop strong relationships within both the AAI business, Contracting, and CORE organizations. Take on assignments as required by AAI Global Legal Lead or Strategy & Consulting Global Legal Lead.
Qualification and Experience
Qualifications: J.D. degree (or equivalent non-US Law degree) and active member in good standing of State Bar. Minimum of 6 years of technology transactional experience either in drafting and negotiating technology focused client facing and/or vendor facing agreements (i.e. data licensing, software as a service agreements, cloud, software license agreements, or software development agreements), in a law firm or in a fast-paced in-house legal department or military group. Preferred Qualifications: Functional understanding of legal issues related to bringing new offerings to market in a legally compliant manner, including offerings utilizing machine learning, third party data, or the delivery of digital marketing campaigns. Working knowledge of: (a) privacy issues regarding consumer or personally identifiable data; (b) IP law; and (c) open source licensing. Experience with data licensing or monetization strategies. Understanding connection between in-bound agreements and client-facing agreements. In-house experience. Interest in technology, especially cutting-edge technologies. Prior experience with cloud computing, software embedded in devices, artificial intelligence, and/or the “internet of things” is a plus. Proficient in use of MS Office Suite of products.
