Senior Corporate Counsel The candidate will provide legal support to the Companyâ€™s sales organization, procurement team and senior management, and will provide valued legal insight and guidance to support optimal business decision making. Will support one or more areas of the business, such as marketing, product development, engineering and finance. Spearhead and/or support a variety of legal initiatives in the areas of data privacy/data protection, copyright infringement and intellectual property, ethics and compliance, regulatory, and litigation matters. Draft, negotiate and advise on complex commercial agreements with domestic and international customers and partners, including enterprise sales agreements, reseller agreements, strategic alliances, master service agreements, vendor agreements, marketing agreements, consulting agreements and confidentiality agreements. Advise product development, marketing, engineering and sales teams from product development through product launch on all associated legal requirements, including consumer protections laws and data protection laws and regulations. Analyze products, policies and initiatives to provide practical legal risk mitigation strategies for technology products across multiple jurisdictions. Stay current on relevant industry, consumer protection, digital advertising, intellectual property, data privacy and data security laws and regulations. Handle pre-litigation legal disputes. Identify, champion and provide training on best practices for corporate policies and procedures. Advise multiple stakeholders on complex matters. Build strong internal and external relationships. Must have JD degree with membership in at least one state Bar. Should have 5-10 years of relevant legal experience, large law firm experience and/or prior in-house experience. Strong technology transactional background in software licensing, cloud computing and IT infrastructure is required. Experience drafting, negotiating and reviewing complex commercial agreements for software licensing, enterprise and digital sales for infrastructure as a Service (IaaS) and related cloud services technologies is needed. Excellent drafting, negotiating, analytical and interpersonal skills is must. Experience working on multiple assignments at once and prioritizing effectively is essential. Technology transactions and intellectual property experience, cloud experience is preferred. Experience advising clients on risk mitigation across technology product platforms is desired. Experience working with an international sales team is helpful. Familiarity with Salesforce and PowerPoint is a plus.
