Executive Director, Senior Counsel - M&A, Licensing, Alliance Management The candidate will lead the drafting and negotiation of product licensing and acquisition transactions (including acquisitions of assets and privately held companies), including due diligence, and review and revision of transaction agreements, confidentiality agreements, term sheets and proposals. Will manage outside counsel in connection with public and private company acquisitions. Draft and negotiate supply/manufacturing agreements for drug substance and finished product. Provide advice and support for existing collaborations, including interpretation of agreement provisions, preparation and negotiation of amendments and periodic liaising with collaboration partner attorneys. Support product divestitures. Advise Business Development, Alliance Management and Third Party Manufacturing groups in connection with the foregoing. Should have 6+ years of experience (including in the corporate department of a major law firm) with focus on acquisitions, licensing, joint ventures and/or collaborations. New York or New Jersey Bar Admission is needed. Experience with pharmaceutical company clients or in-house experience at a pharmaceutical or biotech company is preferred. Strong drafting, communication, analytical and negotiation skills is needed. Undergraduate degree required. JD degree from a top law school, with strong grades required.
