General Counsel The candidate will be responsible for our legal, compliance, risk and safety functions. Will be reporting to the Chief Administrative Officer, you will lead a team of a dozen Associates at our corporate headquarters. Assumes ultimate responsibility for ensuring the Company conducts its business in compliance with applicable federal and state regulatory and statutory matters, including HIPAA privacy and security. Assumes overall responsibility for the preparation of integral corporate documents including: documents required for forming corporations, partnerships, and limited liability companies in any state; Corporate entity filings in all states, including updated DBAs and fictitious name filings; Documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnership and/or limited liability companies. Reviews and/or drafts contracts, including bylaws, operating agreements, and member control agreements, Physician contracts, facility lease agreements, service contracts, employment/Independent Contractor agreements, confidentiality agreements, purchase and sale agreements and ancillary documents; and other contracts as requested. Oversees the review and analysis of physician issues, including peer review, credentialing, governance issues and other issues as requested. Assumes overall responsibility for all necessary compliance activity, investigations, and follow-up. Manages the sale and purchase of assets or entities, including organization and analysis of due diligence information. Manages the overall Safety function and program for the Company. Manages the overall Risk Management function and program for the Company. Provides counsel and guidance on all legal matters and on legal implications of all matters. Serves as primary legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Advises on legal aspects of the company's financing, including assessing and advising on current and future business structures and legal entities. Oversees and manages all litigation activities. Judges the merits of court cases filed against or on behalf of the company; works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted. Structures and manages the company's internal legal and regulatory function and staff. Participates in the staff planning and hiring process for new associates. Leads team and department meetings and associate one-on-ones. Evaluates, implements and manages workflow and process improvements for the department. Develops methods for measuring and monitoring team and department performance. Selects, retains, manages and evaluates all outside counsel. Completes other tasks and projects as assigned.
Qualification and Experience
The candidate should have Bachelor's degree and a juris doctorate degree. Should have MN State Bar Admission. Should have 8+ years of experience practicing in health care law or in house experience in a healthcare organization. Experience managing other attorneys and supervising support staff is essential. Experience with cost effective management of outside legal resources is essential. Experience with physician groups is preferred.
