Lead Analyst, Paralegal- (Corporate Secretarial & Disclosure Group) Duties: Will be to conduct legal research, draft legal documents, and perform other legal related duties under the guidance of attorneys. Responsibilities include supervision of the preparation, drafting, and processing of a variety of legal documents for general or specific areas of legal practice including corporate secretarial, subsidiary and business committees, business lines and departments, and/or designated clients, regulators, investors, outside attorneys and Bank customers. Qualified candidates should also have prior subsidiary management experience and be technologically savvy. The Lead Analyst would also serve as an escalation point for complex or unprecedented issues, as well as determine a resolution and/or work with attorneys to determine the appropriate resolution. Another primary role of the Lead Analyst would be to provide corporate secretarial services to multiple legal entities of the corporation. Responsibilities include, but are not limited to, planning and support of subsidiary board meetings, preparation of meeting minutes, preparation and execution of written consents for a variety of board actions, preparation of numerous secretary/incumbency certificates, maintenance of appropriate subsidiary records (both hard copy and automated), assistance with formation and dissolution of subsidiaries/joint ventures/affiliates, and support of special corporate governance projects as required. Assignments will be given requiring moderate to broad latitude in making independent decisions within defined parameters.
Qualification and Experience
Qualifications: A paralegal certificate from a business school, college or university, or for Corporate Secretarial Services only equivalent work experience (5-7 years) is required, a bachelor's degree is preferred. Experience as a paralegal will be in a corporate, government or private legal firm environment. Strong analytical skills; good to excellent oral, written and presentation communication skills; proven planning and organizational skills; proven ability to deliver precise and timely work products; demonstrated leadership and ability to delegate; proven ability to handle multiple tasks and requests; demonstrated initiative and high work standards are essential.
