A law firm in New York City, NY is seeking an IP Technology Transactions (Life Sciences) Associate Attorney with 3-6 years of experience in licensing, collaboration, and commercial partnering transactions within the life sciences sector. The ideal candidate will have significant law firm experience representing biotech and pharmaceutical companies in licensing patents and collaborating on novel therapeutics, vaccines, diagnostic tools, and digital health technologies. This role involves negotiating complex standalone commercial transactions that advance technologies through clinical trials and toward FDA regulatory approval. Superior academic credentials, along with excellent oral, written, and interpersonal skills, are essential for this position.

Duties:

  • Advising biotech and pharmaceutical clients on intellectual property licensing and collaboration agreements.
  • Drafting, reviewing, and negotiating agreements related to technology licensing, joint ventures, research and development collaborations, and commercial partnerships.
  • Conducting due diligence reviews related to IP assets and technology transfers.
  • Providing legal advice on regulatory compliance issues related to FDA approvals and other relevant regulatory matters.
  • Collaborating closely with founders and technology developers to strategize and execute technology commercialization efforts.
  • Managing client relationships and ensuring compliance with contractual obligations.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • 3-6 years of experience in licensing, collaboration, and commercial partnering transactions within a law firm environment, focusing on life sciences.
  • Experience representing biotech and pharmaceutical clients in IP transactions and technology commercialization.
  • Bar admission in New York State or eligibility to sit for the next Bar exam.

Certifications:

  • Certification in intellectual property law (if applicable).
