Corporate Counsel, Senior I
The candidate will lead legal aspects of mergers and acquisitions, equity financings and other strategic transactions; coordinate with internal stakeholders and deal counsel in connection with a transaction. Prepare company’s ’34 Act filings, proxy statements and annual and special shareholder meeting materials. Prepare and provide guidance on corporate governance, executive compensation, capital markets and related matters. Support the continuous improvement of internal processes. Manage outside counsel on a variety of matters. Handle special projects as requested. Must be a lawyer qualified to practice in at least one U.S. state and have a law degree from a reputable law school. Should have 5+ years of experience practicing as a corporate attorney with a national law firm and/or public company legal department. Experience working with high tech companies preferred. Experience leading mergers and acquisitions, equity financings and other types of strategic transactions. Experience advising on corporate governance matters and preparing board and committee meeting materials required. Experience preparing ’34 Act filings, including Form 10-Ks, 10-Qs, 8-Ks, Section 16 filings, proxy statements and more. Experience working on corporate communications matters, including earnings releases, earnings scripts and investor presentations. Must have working knowledge of executive compensation arrangements, including compensation plans, equity plans and 10b5-1 trading plans. Superior written and oral communication skills required.
