Associate General Counsel - Investment Company Act of 1940
The candidate will be responsible for supporting all aspects of legal and regulatory matters relating to the firm’s retail and annuity-dedicated funds. This individual would be involved in tasks relating to fund registration statements, fund board meetings, strategic initiatives, new regulations and general fund matters. Will provide leadership and support on fund and investment adviser disclosure matters and initiatives with a keen appreciation of and ability to ensure a strong control framework. Provide leadership and support in connection with the research and development of new fund products – from initial vetting to launch; provide guidance and support on fund strategy and manager changes. Provide leadership and support in connection with the handling of general legal and regulatory matters, including investment adviser and CPO-related registrations; provide leadership and support on regulatory exams and inquiries. Provide leadership and support in researching and evaluating new regulations and potential impact to business; provide legal counseling and advice to senior business partners on the implementation of new regulatory requirements; take on leadership roles in connection with firm’s and/or L&R wide working groups. Negotiate key agreements relating to the firm’s Funds business. Frequently interact with numerous stakeholders, including investments, compliance, fund administration, the insurance product group, marketing and operations, in providing general legal advice relating to the funds. Oversee work of more junior lawyers and paralegals; oversee work and demonstrate effective management of outside counsel. Client-facing role - expected to help promote the Legal Department’s positive culture and have excellent communication and relationship skills. Encouraged to support pro bono, volunteer and other employee engagement initiatives within the broader GLCR organization.

Qualification and Experience

The candidate should be Attorney with 10+ years of major law firm or relevant in-house experience. Experience relating to registered management investment companies (mutual funds and/or ETFs), including in the Investment Company Act of 1940, Investment Advisers Act of 1940 and related securities and corporate laws. J.D. with strong academic credentials required. Must have excellent written and oral communications skills as well as strong organizational and project management skills.
