Associate General Counsel, Transactions The candidate will be responsible to the General Counsel for the provision of legal counsel to the company with respect to all its transactional efforts (not including government contracts). Drafting and reviewing commercial agreements (including non-disclosure agreements, sales agreements, purchase agreements, teaming agreements, etc.) with customers, teaming partners, contractors, service providers, and other vendors as requested by the client; Counseling the client on the structuring of business relationships and agreements; Providing legal support for the client's mergers and acquisitions activity; Counseling the client with respect to vendor agreements and other supply chain activity, including distressed supplier work-outs; Conducting internal investigations at the direction of the General Counsel; Managing transactional issues (not including government contracts) and outside counsel within budgets and in support of providing counsel to the Company. Otherwise assist the General Counsel in performing the mission of the Law Department to: (a) understand the Company's present and prospective business and the requirements of that business for legal advice; (b) provide practical and timely legal advice that enables the Company to achieve its business objectives without exposing it to inappropriate legal risks; (c) protect the Company's legal rights, and defend the Company when its conduct is challenged; (d) select, direct, and assist outside counsel who advise or represent the Company; and (e) monitor the Company's compliance with ethical and legal standards.
Qualification and Experience
Qualifications: JD Degree from an accredited law school. Be in good standing as an active member of a state Bar, and in good standing as an active member of the bar in a jurisdiction appropriate for Company legal requirements within 6 months of employment. 7+ years of progressively-responsible and relevant transactional experience in private practice or in-house capacity (or a combination thereof) serving manufacturing (preferably automotive) clients. Be a U.S. Person (as that term is defined in the International Traffic in Arms Regulations). Have strong organizational skills, a high level of initiative, mature interpersonal skills, an ability to communicate effectively at all levels of the company, and an ability to thrive in a dynamic and demanding environment.
