A law firm seeks an experienced associate to join its distinguished Technology & IP Transactions team in Salt Lake City. The firm is looking for an attorney with 3-6 years of experience in technology and intellectual property-focused transactions. The position offers exposure to both domestic and international deals for a wide range of clients, from public to private companies, spanning industries such as software, pharmaceuticals, life sciences, energy, infrastructure, chemicals, consumer goods, and media. This is an exciting opportunity to work on a diverse portfolio of projects, including mergers, acquisitions, licensing, and strategic partnerships.

Duties:

  • Handle a variety of technology and IP-related transactions, including mergers and acquisitions, joint ventures, and strategic alliances.
  • Negotiate and draft complex commercial agreements such as software agreements, R&D collaborations, outsourcing contracts, and licensing (patent, trademark, copyright, data/databases).
  • Advise clients across industries like pharma, software, media, energy, and infrastructure on structuring and executing commercial deals.
  • Manage the negotiation process for financing, restructuring, and intellectual property licensing agreements.
  • Provide counsel on international and domestic transactions, ensuring compliance with relevant laws and regulations.
  • Foster and maintain client relationships, offering practical legal solutions tailored to clients' business needs.

Requirements:

  • 3-6 years of experience in technology and intellectual property transactions or a related field.
  • Strong experience in negotiating and drafting agreements across various commercial and corporate matters.
  • Exposure to multiple industries, including but not limited to software, pharmaceuticals, media, energy, and consumer products.
  • Solid understanding of IP transactions, including licensing, strategic alliances, joint ventures, and financing.
  • Strong legal research, drafting, and negotiating skills.
  • A high level of attention to detail and the ability to manage multiple priorities efficiently.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic record and exceptional analytical abilities.

Certifications:

  • Admission to the Utah State Bar or eligibility to obtain admission promptly.

Skills:

  • Expertise in negotiating, drafting, and advising on a range of technology and IP transactions.
  • Ability to work with clients from various sectors, including technology, healthcare, media, and infrastructure.
  • Proficiency in managing complex commercial transactions and navigating international business matters.
