Corporate Counsel
Responsibilities: Reporting to General Counsel and Secretary, this position is responsible for various corporate and securities matters, including the Company’s proxy statement, periodic and current reports, Section 16 filings, NYSE reporting, board materials, and subsidiary management. Provides legal, strategic and tactical advice regarding various governance and compliance matters.

Qualification and Experience

Qualifications: JD Degree from an accredited law school; member in good standing of at least one state bar; eligible for admission to the Ohio Bar. Must possess 5+ years of relevant experience and the ability to maintain a broad-based practice in order to resolve the various legal and business issues facing a publicly-held company. Experience in one or more of the following areas is preferred: intellectual property (particularly patent portfolio management), information technology, data security, privacy, commercial contracts, mergers and acquisitions, and regulatory/legislative affairs. Accomplished – strong track record of professional accomplishments. Attention to Detail – extremely detail-oriented with a strong focus on accuracy. Problem Solving – identify and resolve problems in a timely manner while balancing risks and rewards. Dynamic – keen ability to handle multiple tasks simultaneously Organized – highly organized with keen ability to handle multiple tasks simultaneously without sacrificing quality or customer service; prioritization, and follow-up skills necessary for managing multiple issues at one time, including uncertain situations, in a professional manner and under minimal supervision. Oral Communication – listen well and seek clarification; anticipate and respond well to questions; communicate thoughts clearly and concisely to relate to people with all levels of experience and backgrounds, internal and external to the company. Written Communication – write clearly, informatively, and concisely; edit work for spelling and grammar; vary writing style to meet needs; accurately read and interpret written information. Quality – demonstrate accuracy and thoroughness; look for ways to improve and promote quality and efficiency. Professionalism – accept responsibility for own actions; follow through on commitments. Dependability/Commitment – ability to work independently and effectively across offices and to initiate phone, e-mail, telephonic and video communication as appropriate;respond to management direction; commitment to long hours of work when necessary to reach goals. Technology – proficient in Microsoft Word, Excel and Power Point, and able and willing to work with databases and new technology; able to utilize other software applications at an intermediate level, including ability to efficiently and effectively master company’s specific applications.
