Paralegal, Health Industry Advisory The candidate provides transactional and regulatory legal support to the attorneys in the Health Industry Advisory practice group. This position works with clients to retrieve information, assist them with Firm tools and provide assistance with regulatory filings and during corporate transactions. Assist with drafting agreements and related closing documents and binder sets for corporate transactions. Attend and assist attorneys and clients during closings. Prepare documents to form new entities (Corporations, LLCs, LLPs, etc.) in any state and file all materials with the applicable the state department(s). Draft corporate filings such as resolutions, formation documents, bylaws, amendments, annual reports, etc. Prepare corporate minute books, stock certificates and transfer instruments. Draft financing statements, amendments, termination and other documents under the Uniform Commercial Code; perform state and federal UCC, lien and litigation searches. Communicate with state and federal regulators to confirm specific requirements of clients during health system changes of ownership. Prepare healthcare regulatory filings, licensing materials and tax filings. Draft and file IRS forms including SS-4 Forms to obtain Employer Identification Numbers (EINs), Form 1128 to adopt or retain a tax year and Form 2848 to appoint power of attorney on behalf of taxpayers. Perform transactional & regulatory due diligence; create and manage electronic due diligence data rooms. Perform legal research and compile case law, statutes, regulations and legislative histories using state and federal reporters, legislative materials, law journals, periodicals and electronic research tools such as Lexis-Nexis. Perform legal writing services such as footnoting, Bluebook cite checking and providing legal source material. Compile information on health systems, affiliated organizations and individuals for business development; assist with the drafting of RFPs. Should have Bachelor’s degree or Paralegal Certificate. Should have 5+ years of related work experience. Must have knowledge of Microsoft Office Suite (Excel, Outlook, PowerPoint, and Word).

Pros : The firm uses technology quite well, which you might not expect - everything is up to date, and some jobs can be remotely performed, at least some of the time. Benefits are definitely above average.
Cons : Has a lot of the problems inherent to a larger and more established firm. Management sometimes seems unwilling to listen to or to deal with concerns. Not a lot of room for growth, in some functions, and when there are opportunities, you feel like they are distributed to those who are ""insiders"".
