Staff Attorney The candidate coordinates corporate legal and government affairs functions, including legal research, review, drafting and consultation on a variety of matters affecting firm businesses and operations. In coordination with firm third party Corporate Counsel, advises Operation and other staff on various issues such as contracts and negotiations, SBA 8(a)/HUBZone, employment, corporate governance, ethics and other transactions and related matters routinely associated with the operations of the corporation. In coordination with the firm General Counsel, coordinates litigation matters, ensuring timely updates and reports to executive staff as appropriate. Supports General Counsel requirements for the Board Legal Report and other audit-related legal reporting. Conducts legal research and drafts legal memoranda, briefs, contracts and other legal documents in support of operations and projects and addresses any legal questions or issues affecting firm in a responsive and timely manner. As needed, coordinates and delegates legal research and writing to outside attorneys and oversees the completion of those tasks. Serve as the in-house legal point of contact to outside counsel representing firm and its family of companies and internal stakeholders in regard to federal government contracting matters, including contract review, awards and bid protests. Monitors and proactively manages emerging governance issues with reporting to executive staff as needed. Oversees and manages the application process for certification in the SBA’s 8(a) Small Disadvantaged Business and HUBZone programs, as well as other small business certifications such as Disadvantaged Business Entity (DBE) certification with the Alaska Department of Transportation (DOT) and other State DOTs. Oversees and ensures subsidiary and holding company compliance with SBA and other regulatory requirements, as well as UIC-defined operational guidelines. This includes, but is not limited to the assignment and management of NAICS codes to subsidiary companies, as well as monitoring and management of non-8(a) revenue requirements for 8(a) subsidiary companies as those companies progress through the 8(a) program. Advises subsidiary and holding company presidents/general managers on SBA and other federal regulations. Serves as a resource on ANCSA, Alaska Native Corporation Law and Federal Indian Law and advises executives on any relevant changes. Stays informed on the political climate in both Alaska and Washington, DC, particularly any new legislation that may affect firm. Oversees and manages assigned outside attorneys, providing direction, guidance and professional oversight. Manages standard corporate legal functions including but not limited to, business licensing, government contractor registration, drafting of operating agreements and Consent-to-Actions (CTAs), and contract review/administration. Represents firm in administrative proceedings, negotiations, and litigation when outside counsel is not used. Oversees the drafting and review of internal policies and procedures as required. Supports General Counsel in the administration of the Clean Umiaq policy/program. Coordinates lobbying outreaches at the State and Federal levels on issues affecting firm. Strategizes with executive leadership in regard to the creation of new companies within each business line, namely for the purpose of optimizing the SBA’s 8(a) program. Advise General Managers in regard to the appropriate or most optimal selection of firm companies for federal opportunities. Tracks regulatory compliance matters in regard to SBA compliance, such as non-8(a) revenue targets and affiliation issues. Serves as one of three POCs with UIC’s assigned Business Opportunity Specialist (BOST) at the SBA.

Qualification and Experience

The candidate must be actively licensed Member of Bar Association. Should have 5+ years of experience in the practice of law in relevant fields. Strong work ethic and desire to practice law for an Alaska Native Corporation is required. Excellent organizational skills and ability to balance multiple projects and priorities is needed. Excellent oral and written communication skills, especially listening skills is must. Excellent legal research and writing skills is essential. Working understanding of the compliance requirements for firm’s types of businesses is essential. Litigation Experience is desired. Alaska Native Corporation Work Experience is a plus.
