Job Summary: The ideal candidate will be a skilled transactional attorney with a minimum of 3 years of relevant experience in real estate and business transactions. The candidate must be licensed to practice law in Texas and possess a strong understanding of Texas laws and regulations.

Key Responsibilities:

Real Estate Transactions:

• Represent buyers, sellers, and lenders in real estate transactions.
• Structure deals and provide strategic advice on complex transactions.
• Handle syndications and fund creation.
• Advise on alternative financing options.

Business Transactions:

• Assist with corporate structuring and governance.
• Ensure compliance with regulatory and administrative requirements.
• Manage mergers and acquisitions.
• Provide counsel on Reg A+, 504, 506(b), 506(c), REITs, 1940 Act, and the Investment Advisers Act.
• Facilitate entity formation.
• Review, create, and negotiate contracts.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.
• Active license to practice law in Texas.
• Minimum of 3 years of relevant experience in real estate and business transactions.
• Proven experience in deal structuring, syndications, and fund creation.
• Strong knowledge of corporate structuring, governance, and compliance.
• Familiarity with mergers and acquisitions, Reg A+, 504, 506(b), 506(c), REITs, 1940 Act, and the Investment Advisers Act.
• Excellent contract review, creation, and negotiation skills.
• Strong analytical and problem-solving abilities.
• Exceptional interpersonal and communication skills.
• Ability to work independently and as part of a team.
• High level of professionalism and integrity.

Preferred Skills:

• Experience with alternative financing.
• Knowledge of Texas-specific real estate and business laws.
