Senior Legal Counsel - Federal Government Contracts The candidate will be commercial contracting and compliance, including negotiating a wide variety of contracts for firm's independent medical exam services business in the workers compensation industry, including, federal contracts, end user licensing agreements, Master Software and Services Agreements, Consulting Agreements, Reseller Agreements and other applicable agreements to support the business. Will enhance and maintain federal government contracting compliance program, including assisting with Federal filings, policy review, and physician credentialing and compliance. Work closely with Regulatory Team to insure compliance with State Regulatory Filings for Independent Medical Examinations, Utilization Review, Internal Review Organizations, and External Review Organizations. Draft a variety of agreements; assist in negotiating agreements and in structuring key transaction terms in a manner that helps the business achieve its objectives. Coordinate with the legal team and the business to drive transactions toward completion, including liaising with key legal, sales, account management, human resources, finance, tax, risk management, and other outside business resources. Provide advice on corporate legal issues and business matters to members of the legal department and Executive Management. Participate in interdepartmental procedure improvements with an overall goal of simplifying and accelerating business unit interaction with the legal department. Perform special assignments or projects, without significant supervision.

Qualification and Experience

The candidate should have JD Degree from a top-tier accredited law school with top academic credentials and a license to practice law. Must have 6-10 years of solid legal experience, with some in house counsel experience. Federal government contracts experience required. Regulatory or state licensure experience preferred. Strong background in negotiating commercial contracts, and technology licensing and services agreements is required. Experience in software licensing and data rights preferred. Proven track record of confronting and successfully resolving complex legal and compliance matters with significant financial and business impact is required.
