Job Overview

A law firm seeks a seasoned finance and restructuring attorney to join its practice group as a Counsel. This role is designed for an individual with substantial transactional experience, particularly in the realm of structured finance, corporate trust transactions, and corporate debt issuances. The successful candidate will provide counsel to financial institutions and corporate trust clients, handling complex transactions across a range of financial sectors.

Duties

  • Represent financial institutions and corporate trust clients in various financial transactions, including structured finance, municipal debt, and corporate debt issuances.
  • Draft, review, and negotiate a wide array of financial agreements, including trust indentures, loan agreements, custodial contracts, and SaaS or software licensing agreements.
  • Collaborate with internal teams to structure deals that meet client needs while ensuring compliance with legal and regulatory frameworks.
  • Manage multiple complex projects, ensuring timely completion and maintaining a high level of accuracy.
  • Provide guidance and mentorship to junior attorneys, paralegals, and other support staff.
  • Foster strong relationships with clients, understanding their needs and proactively addressing potential legal issues.

Requirements

  • At least seven years of transactional experience, ideally in structured finance, municipal debt, or corporate debt transactions.
  • Proven track record in drafting and negotiating complex financial contracts.
  • Ability to independently manage multiple transactions with minimal supervision.
  • Strong interpersonal skills with an ability to work collaboratively in a team-oriented environment.
  • Exceptional written and verbal communication skills, including the ability to effectively negotiate and review documents.

Education

  • Juris Doctor (.) from an accredited law school.

Certifications

  • Active membership in at least one state bar.

Skills

  • Expertise in structured finance and corporate trust transactions.
  • Strong contract negotiation and drafting skills, particularly in financial agreements.
  • Analytical skills to review and interpret complex legal and financial documents.
  • Leadership skills, with experience managing and mentoring junior attorneys.
  • Ability to thrive in a fast-paced, deadline-driven environment.
  • Proficient in using legal research tools and relevant financial software.
