Corporate Counsel The candidate will provide legal support and advice in FERC regulatory and compliance matters, including proceedings, risk identification, and mitigation strategies, in order to contribute to and influence the strategic direction of the organization. Will examine, interpret, and advise on laws, rulings, regulations, and orders, particularly those relating to FERC regulations, orders, and legal decisions. Review, analyze, investigate and represent company with respect to events related to FERC and other regulatory compliance. Provide leadership, strategic advice, business counseling, and expertise for internal legal resources and business partners to assist in addressing and solving legal, regulatory, and compliance issues. Identify regulatory or external customer/stakeholder issues, particularly with respect to FERC and proactively develop company positions in order to work with teams (including cross functional teams) to achieve desired results. Advocate on behalf of company within regulatory and/or stakeholder committees and groups, particularly with respect to FERC. Prepare tariff amendments, contracts, service agreements, testimony, briefs, arguments, pleadings and other legal documents. Represent company before state and federal agencies and courts. Manage litigation, including the discovery production process and issuance of legal holds to preserve relevant information. Forecast, allocate and manage resources, including outside counsel, to meet business needs and achieve strategic goals in a timely manner. Professionally exercise discretion and independent judgment in day-to-day work. Effectively network, influence and problem solve to shape outcomes and negotiate agreements with customers/stakeholders to meet business objectives. Collaboratively partner with other attorneys, paralegals, law clerks, and administrative staff (and other employees in a matrixed organization) to ensure effective communication, operational excellence, and/or customer service is delivered. Ensure compliance with all processes, procedures, and standards applicable to the position including (but not limited to): SSAE16 SOC 1 (Statement on Standards for Attestation Engagements No. 16 Service Organization Controls 1) , CIP (Critical Infrastructure Protection), Change Management, Tariff (Open Access Transmission, Energy and Operating Reserve Markets Tariff), FERC (Federal Energy Regulatory Commission), NERC (North American Electric Reliability Corporation), U.S. Department of Homeland Security, and NAESB (North American Energy Standards Board). Complete all other duties as assigned.
Qualification and Experience
The candidate should have a J.D. degree. License to practice law in any US state or the District of Columbia is required. Indiana licensure required or able to obtain within 18 months from date of hire. Must have 5-7 years of related legal experience. Prior regulatory or energy industry experience is required. Should have in-depth industry specific knowledge and ability to: identify and anticipate business needs to meet business expectations; trend analysis to assist in effectively forecasting resources to meet future business demands; FERC policies and procedures; and principles, practices, and administration of technical and legal issues.
