Corporate Attorney (Part Time) The candidate will be responsible to review contract requests and proposals for comparison to company strategies and budgets. Coordinate relevant stakeholders in discussions involving legal, insurance, or regulatory requirements and contract deliverables. Provide contract requirements by gathering data from various sources. Ensure accuracy and appropriateness of contract text and attachments. Coordinate contract execution, ensure signed contracts are communicated to all relevant parties, and provide clarity on contractual matters and deliverables when necessary. Establish and maintain effective working relationships with departmental administrators and representatives of contracted external parties. Ensure contracts are properly entered into organizational databases and securely maintained. Document contract timeline requirements, deliverables, and obligations. Maintain contractual records such as receipt and control of all contract correspondence as assigned by executive management. Assist with preparation of financial analysis and various reports of contract cost(s). Coordinate renewals or amendments with appropriate parties. Serve as point of contact for customers on contractual matters. Oversee service level agreement compliance. Review contractual performance of both parties to ensure compliance with terms and identify conflicts or changes requiring resolution. Manage and resolve contract exception requests. Assist Sales Operations Manager with coordination efforts of RFPs and RFIs. Manage patent portfolio to include oversight of intellectual property compliance and reporting, including monitoring of patent applications. Responsible for oversight of compliance with export regulations. Advise when outside Legal counsel is warranted and serve as primary liaison.
Qualification and Experience
The candidate should have BSc Degree in Law or J.D. Degree with 5+ years of relevant experience to include knowledge and understanding of corporate law and procedures. Microsoft Office Suite with an emphasis in Excel skills required. Strong knowledge of contract management, principles, and guidelines. Ability to perform contract review and analysis in order to make recommendations. Ability to thrive independently. Attention to detail and the ability to complete tasks with a high degree of accuracy. Should have strong verbal and written skills, and the ability to convey complex information. Ability to be influential, both in one-on-one and group situations. Application of organizational standards when developing requests for proposals, negotiating terms, and drafting contracts.
