Documentation Specialist II - Technology Legal Practice Group - Associate The candidate will review, interpret and analyze agreements with suppliers, advising clients and partners on rights and responsibilities related to those agreements, including compliance with firm policies and regulatory requirements. Handle end-to-end management of negotiations, navigation of internal processes and coordination on behalf of the client to reach timely and successful execution of agreements. Handle interpreting client needs and contractual requirements from information provided by internal business partners. Negotiate standard and customized contracts, as supervised by bankâ€™s Legal counsel, in order to minimize the risk to the business through strict adherence to policies, procedures, and regulatory requirements. Obtain and track internal exception approvals. Provide tracking on status of contracts by maintaining up-to-date transaction information and providing reporting. Analyze existing legal documents for conformance to the firmâ€™s policies and procedures and regulatory requirements. Provide guidance and subject matter expertise on documentation to internal business partners. Communicate effectively with internal business partners. Contribute to the development and maintenance of negotiation guidelines, training materials and procedures. Perform legal research on technology, intellectual property and contractual issues, as needed. Must be an undergraduate degree and 2+ years of experience in a law firm or corporate law environment or equivalent experience drafting and negotiating customized transactions with large multi-product global client base. MBA/JD and/or paralegal certificate is desirable. In-house experience in the financial services industry and/or technology industry is desirable. Must have experience in negotiating contracts for technology transactions with third party providers preferred, including software licensing/support, software as a service, equipment purchase/maintenance, consulting, professional and other services agreements. Should have familiarity with privacy, intellectual property, outsourcing, offshoring, contracting and related regulatory and risk environments desirable. Must have excellent verbal, written, interpersonal, and organizational skills. Should have proficiency in Microsoft Word, Excel, Power Point and SharePoint desirable.
