A law firm in Chicago is seeking a Mid-Level Private Equity Finance Associate Attorney with approximately 3-4 years of substantive leveraged finance experience. The ideal candidate will have experience representing borrowers, private equity sponsors, financial institutions, direct lenders, and other investors in various debt finance transactions. Lender-side experience in middle-market transactions is a plus. The role involves handling acquisition financings, recapitalizations, asset-based facilities, working capital facilities, and debt restructurings.

Duties and Responsibilities:

  • Represent clients in leveraged finance transactions, including acquisition financings, dividend recapitalizations, asset-based facilities, and general working capital facilities.
  • Advise on debt restructurings and reorganizations, including debtor-in-possession financings.
  • Draft, review, and negotiate financing documents, including credit agreements, security agreements, and intercreditor agreements.
  • Conduct due diligence and provide legal analysis on financing transactions.
  • Collaborate with clients, private equity sponsors, financial institutions, and other stakeholders to structure and execute complex finance deals.
  • Manage all aspects of transaction execution, including coordinating with internal teams and external parties.
  • Stay current on developments in private equity finance, leveraged finance, and related legal areas.
  • Provide strategic counsel to clients and develop effective legal solutions for complex financing issues.

Requirements:

  • Approximately 3-4 years of substantive leveraged finance experience.
  • Experience representing borrowers, private equity sponsors, financial institutions, direct lenders, and other investors in debt finance transactions.
  • Lender-side experience in middle-market transactions is a plus.
  • Strong drafting, negotiation, and analytical skills.
  • Excellent client service and communication abilities.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the state bar where the firm is located (., Illinois Bar).

Skills:

  • In-depth knowledge of leveraged finance, private equity transactions, and debt finance structures.
  • Experience with acquisition financings, recapitalizations, asset-based facilities, and debt restructurings.
  • Strong drafting and negotiation skills.
  • Excellent legal research and analytical abilities.
  • Ability to manage complex transactions and provide strategic legal advice.
  • Strong communication and client service skills.
  • Ability to work effectively in a team-oriented environment.
