Junior Real Estate Counsel Candidate will support the Company’s real estate operations and the expansion of its national real estate presence, including Vending Machines, delivery hubs, inspection and reconditioning centers, and other components of the Company’s real estate network. Will report directly to our Real Estate Counsel while working closely with the Real Estate Department and will focus on contract drafting and review, diligence, identification and analysis of risk management considerations, and problem-solving. Will assist the Real Estate team with project management, project coordination and time-sensitive tasks in the day-to-day operations of a blitzscaling online automotive retail start-up. Most importantly, you will see your work have an immediate, tangible impact every day in a well-funded and rapidly growing company. Support the Real Estate and Construction Departments in site selection, contract negotiation, diligence, construction and development in connection with multi-faceted real estate transactions. Work with all levels of the Real Estate and Construction Department, the Legal Department, and others to ensure the various moving parts of many concurrent real estate transactions are accurately and effectively managed. Draft and, in conjunction with the Real Estate Counsel and occasionally outside counsel, review, negotiate and revise commercial real estate purchase contracts, retail leases, and acquisition-related documents, including contract amendments, cross-parking/access easements, use restrictions and utility easements, while providing counsel on letters of intent, brokerage representation agreements, confidentiality agreements and other collateral documents. Review, negotiate, and analyze site specific due diligence, including title insurance commitments, surveys and environmental/geotechnical reports, while efficiently communicating key concerns to the Director of Real Estate, Real Estate Counsel and General Counsel as applicable. With the support of a Real Estate Paralegal and the Real Estate Department, conduct and oversee transaction closings and ensuring project timelines and tasks are effectively completed. Assist the Real Estate Department in preparing and negotiating construction-related contracts for sites acquired based on forms previously created by outside counsel. As needed, coordinate with external real estate counsel, local land use counsel, other internal teams, vendors and service providers.
Qualification and Experience
Qualifications: A Bachelor’s degree from an accredited undergraduate institution. A JD Degree from a top-tier law school with 3-5 years of legal experience in commercial real estate. Demonstrated experience in conducting real estate diligence and negotiating and closing both real estate purchases and real estate leases. Membership in good standing with a United States State Bar. Exceptional organizational skills and the ability to maintain highly detailed records. Willingness to spend considerable time drafting, reviewing and analyzing real estate contracts, while collaborating on strategy and risk considerations. Ability to differentiate between theoretical and real-world considerations in a fast-paced dynamic real estate department that requires a balance between critical thinking and efficient decision-making. Excellent communication skills necessary to coordinate amongst deal counterparties, internal teams and business units, professional service providers, and outside counsel. Ability to prioritize/re-prioritize multiple projects and/or deadlines in a fast-paced work environment. Enthusiasm and energy to contribute to and thrive in an energetic and rapidly-evolving company with a collaborative atmosphere.
