Director of Legal Counsel The candidate will be specializing in the drafting, negotiation and review of commercial contracts and other transactional documents and in providing general legal analysis and counseling. This position is ideal for a mid-level attorney looking to join a dynamic in-house legal team. The attorney will have direct involvement with multiple areas of the business including merchandising, human resources, benefits, IT, marketing, finance, eCommerce, operations, supply chain, visual, store planning and facilities, risk management and tax. Negotiate, draft and review commercial, benefits, technology, license, agency contracts and other. Provide strategic legal advice to executives and their teams. Lead multiple stakeholders through business, legal and corporate governance issues. Provide general legal support for merchandising, human resources, benefits, IT, marketing, finance, eCommerce, operations, supply chain, visual, store planning and facilities, risk management and tax. Assist in the development, implementation and maintenance of Belkâ€™s compliance program, including policies and procedures in various applicable subject matter areas. Partner with risk management to review transactional documents and opine on Belk responsibility. Manage outside counsel, if applicable. Support the General Counsel, as requested, in connection with legal matters. Assist in corporate transactions, including, stock acquisitions, mergers and asset sales, if applicable. Assist in discovery requests, if applicable. Build relationships with internal stakeholders and outside counsel. Reduce external spending. Effectively maintain records and files of legal department for matters handled or managed.
Qualification and Experience
The candidate should have Bachelors degree. Must have a Juris Doctorate degree from an accredited law school. Specific Certifications: Must be licensed and able to practice law in the state of NC. License must be in good standing. Must comply with annual CLE requirements for maintaining license to practice law. 4 years of work experience in a top-tier private transactional legal practice is required. Prior experience as an in-house transactional attorney with experience negotiating and drafting commercial contracts is preferred. Should have excellent written and oral communication skills along with a demonstrated ability to collaborate with internal and external consitutencies to drive business results. Must have prudent judgment and ability to manage risk and internal compliance and control policy enforcement.
