Legal Specialist 3 Responsibilities: Perform all tasks required for accurate, timely and effective legal entity management. Draft board and stockholder resolutions, meeting minutes, officer certificates, bylaws, operating agreements, partnership agreements, joint venture agreements, formation documents and other corporate governance documents in compliance with applicable law. Prepare and execute various state filings (e.g., certificates of incorporation, formation, foreign qualification, merger, conversion, dissolution and withdrawal and name changes). Coordinate/assist with international subsidiary board meetings, preparing board packs and interacting with senior business leaders on related matters. Maintain accurate corporate books and records using Company's global entity management system (GEMSTM), Board Vantage and Microsoft Office 365 resources. Assist with vendor billing and management. Generate subsidiary charts, affiliate lists and other reports for internal and third parties. Support timely execution of subsidiary audit program and legal entity rationalization efforts. Promote the reputation and integrity of Company's General Counsel Organization. Other responsibilities and tasks to be assigned, as needed.
Qualification and Experience
Requirements: Corporate paralegals must have at least 4 years of experience at a major law firm and/or a publicly-traded multi-national enterprise supporting a robust corporate practice and/or M&A transactions. Education-Degree from an accredited university and a paralegal certificate from an ABA-approved paralegal program. The successful candidate must own a strong, pro-active work ethic, un-tempered intellectual curiosity, and the ability to work effectively independently and with a team.
