Senior Paralegal The candidate will manage bank legal department’s transactions with affiliates process understand Bank’s policies and procedures concerning the same. Will support the Bank’s Credit Risk Operations department and take committee meeting minutes. Research various regulatory requirements at direction of internal counsel and advise on the same. Work on various legal projects, including researching, drafting internal advisories and documentation, and handling a range of legal projects. Liaise with meaningful departments to ensure that where legal risks have been identified, appropriate courses of action have been taken. Provide and interpret legal information and disseminate appropriate legal requirements to counterparts in other departments. Support the full vendor contract lifestyle, including: Develop and maintain a deep understanding of firm’s vendor contract negotiation processes. Directly participate in the review, drafting, and negotiation of contracts, including events, facilities, services, consulting and non-disclosure agreements, and statements of work. Work with business and procurement personnel on a variety of vendor and contract-related issues. Administer the contract negotiation process. Assist attorneys in working with third-party risk team to help mitigate risk related to vendors. Prepare contracting reports and metrics. Develop action plans to carry out large and small scale projects. Lead various projects, including those that involve key regulatory requirements. Work closely with other members of the legal department, risk and compliance partners, and business representatives to ensure projects are implemented. Ensure proper documentation of significant aspects of the project. Engage in creative problem solving. Should have 6+ years of experience supporting corporate legal matters, contract management and bank experience preferred. Shown in-depth knowledge of, and experience with, bank regulatory laws are needed. Strong negotiation and contract drafting skills is needed. Experience with Microsoft Word, Microsoft Excel, iManage, Visio Software, SharePoint, Compliance360, MRM, and possibly external data sites (i.e., Intralinks, DirectorsDesk) is needed. Excellent writing, planning, social, communication and relationship management skills are needed.
