Associate General Counsel, Executive Compensation & Benefits The candidate will be providing legal counsel and strategic advice on executive compensation programs, employee health and welfare plans, qualified and non-qualified plans, investment management, and ERISA-related matters. Will be supporting benefits plan committees on ERISA fiduciary, pension investment, and governance issues. Providing guidance on participant claims, appeals, and plan corrections. Drafting and reviewing plan documents, amendments, and summary plan descriptions. Participating on project teams, including for RFPs, new benefit offerings, changes in plan design, and investments. Negotiating agreements with investment managers, consultants, service providers, and other vendors. Closely monitoring legislative and regulatory changes and benefits and executive compensation-related litigation and evaluating for potential implications for Firms. Counseling on Internal Revenue Code Section 409A and providing legal support for non-qualified deferred compensation plans. Advising on matters related to the Firm’s equity participation plan, including a form of award agreements for global employees. Supporting the preparation of materials for the Firm’s Management Development and Compensation Committee. Advising notice and disclosure requirements and reviewing employee communications. Advising on governance and oversight matters for global benefits plans and programs with in-country functional resources and advisors. Preparing Forms 5500 and supporting retirement plan financial reports. Managing and responding to benefits-related government audits and investigations. Providing counsel in connection with corporate transactions/due diligence issues that may arise that have benefit plan or executive compensation implications. Interacting closely with design and administrative teams and functional partners for the retirement plans, health and welfare benefit plans, and executive, deferred, and equity compensation plans.
Qualification and Experience
The candidate should have a Juris Doctorate from an accredited law school. Must have 6+ years of relevant legal experience in the areas of employee benefits and executive compensation. The law firm or large public company experience is preferred. Should have expertise regarding the laws and regulations related to health and welfare plans, including IRS Code, ERISA, Affordable Care Act, COBRA, and HIPAA matters, and related claims and appeal processes. Must have experience advising on executive compensation matters, including 409A, top hat plans, equity plans and awards, and cash incentive programs. Experience advising on ERISA fiduciary and pension investment issues is required. Familiarity with benefits-related litigation, class actions and tax matters is needed.
