Paralegal - Corporate Transactions, M&A Duties: The candidate will provide transactional and statutory legal support to the attorneys in the Transactions practice group. Work with clients to retrieve information, assist them with Firm tools, and provide assistance with statutory filings and during corporate transactions. Assist with drafting signature pages, certificates, documents, instruments, and other agreements for corporate and financing transactions. Attend and assist attorneys and clients with transactional closings. Organize closing documents (including preparing closing binder sets and/or closing CDs) and signature pages and notarize/coordinate with notaries. Draft and assist with review of resolutions and related corporate documents in conjunction with corporate entities in both the acquisition and financing context. Prepare documents to form new entities (corporations, LLCs, LLPs, etc.) in any state and file all materials with the applicable state departments. Draft corporate filings such as resolutions, formation documents, bylaws, amendments, annual reports, etc. Prepare corporate minute books, stock certificates, and transfer instruments. Draft financing statements, amendments, termination, and other documents under the Uniform Commercial Code (UCC); perform state and federal UCC, lien, and litigation searches and summarize findings. Perform transactional, statutory, and regulatory due diligence; create and manage electronic due diligence data rooms. Assist with paralegal training as needed, including preparing training material and conducting formal and informal training.
Qualification and Experience
Qualifications: The candidate should have a Bachelor’s degree (or equivalent work experience). Must have 5+ years of related work experience. Knowledge of Microsoft Office Suite (Excel, Outlook, PowerPoint, and Word). Strong written and verbal communication skills. Strong organizational skills. Ability to work under tight deadlines and prioritize responsibilities and multitask across multiple projects. Ability to work flexible and/or fluctuating work hours. Ability to handle and maintain confidential information. Ability to work in a team environment.
