General Counsel
Duties: Serve as a legal, compliance and business advisor to the CEO, the board, and other members of the executive/senior leadership team. Oversees administration of Board activities and the corporate records of the organization relating to action taken at Board and Committee meetings. Develop and lead corporate legal strategy to promote and protect the company’s matters. Oversee delivery of legal services and manage a high-performing function and team equipped with best practice processes, analytics, and tools that can scale in a high-growth environment. Establish credibility internally and externally quickly with key constituents while maintaining the strategic and tactical strength. Act with integrity and ensure the Company is globally compliant in all areas. Manage all areas of corporate governance. Select, direct, and oversee all outside counsel relationships as required and financially manage all legal and compliance spend. Maintain proper corporate interactions with and insights from the relevant local, state and federal governmental bodies, legislatures and the community at large. Manage litigation strategy and conduct legal research and review company’s litigation strategy pertaining to legal actions. Review, evaluate and manage contracts, leases, and other legal documents; researches legal issues and recommends revisions as necessary. Provide daily direction and high quality, hands-on leadership to achieve business results and identify and attack key issues and opportunities. Provide insight-driven legal and compliance capability and advice to help the CEO make informed decisions, supporting growth and preventing strategic or operational missteps and partner with the CEO and other senior executives on key strategic and operational decisions. Support the value creation initiatives within the company providing legal and compliance expertise and balance. Enhance and continually improve all aspects of the company’s legal and compliance function and strategy with an emphasis on supporting achievement of the strategic and operational plan for profitable growth. Support a culture defined by high-performance, accountability, collaboration, trust, and a focus on core metrics. Provide mentorship, guidance, and transparency to members of the legal and compliances function, as well as direct reports.

Qualification and Experience

Qualifications: JD Degree required. CA Bar Certified. Prefer both top law firm and in-house experience, with outsourcing experience a plus. Significant experience in legal and compliance leadership positions of increasing scope and responsibility with 10+ years at the executive level. Importantly, the next General Counsel will possess: Experience as a leading legal and compliance executive at a growth company with standalone CLO/Secretary experience preferred. Significant Board experience and corporate governance and secretarial duties. Private equity experience preferred, as well as Private and Public company experience. Experience growing and scaling a business successfully supported by knowledge of statutes, rules, and regulations. Experience and comfortable articulating complex legal and compliance matters and adapting recommendations to the business environment. M&A experience including both due diligence and integration preferred. Experience with corporate law and litigation. Excellent negotiation capabilities coupled with experience in reviewing, analyzing, developing, and negotiating contracts. Outstanding communication skills. Writes and presents effectively; adjusts to fit the audience and the message; strongly gets a message across. Ambitious and desire to win in the market. Courageous and willing to use facts and data to take a contrarian point of view or highlight decision implications.
