Qualifications: JD Degree required. CA Bar Certified. Prefer both top law firm and in-house experience, with outsourcing experience a plus. Significant experience in legal and compliance leadership positions of increasing scope and responsibility with 10+ years at the executive level. Importantly, the next General Counsel will possess: Experience as a leading legal and compliance executive at a growth company with standalone CLO/Secretary experience preferred. Significant Board experience and corporate governance and secretarial duties. Private equity experience preferred, as well as Private and Public company experience. Experience growing and scaling a business successfully supported by knowledge of statutes, rules, and regulations. Experience and comfortable articulating complex legal and compliance matters and adapting recommendations to the business environment. M&A experience including both due diligence and integration preferred. Experience with corporate law and litigation. Excellent negotiation capabilities coupled with experience in reviewing, analyzing, developing, and negotiating contracts. Outstanding communication skills. Writes and presents effectively; adjusts to fit the audience and the message; strongly gets a message across. Ambitious and desire to win in the market. Courageous and willing to use facts and data to take a contrarian point of view or highlight decision implications. Proactive and independently identifies and attacks key issues with speed and confidence. Analytical and works through complexity and data to deliver insights and make quality decisions.
