The ideal candidate will have substantial experience representing registered investment companies, private funds, and investment advisers, with a strong understanding of related laws and regulations. Duties and Responsibilities

  • Represent registered investment companies, private funds, and investment advisers.
  • Prepare and review registration statements and offering documents.
  • Draft and review board meeting materials.
  • Develop and review investment management agreements and related materials.
  • Provide legal advice and support on compliance with the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934.
  • Assist clients with regulatory filings and compliance issues.
  • Conduct legal research and stay updated on changes in relevant laws and regulations.
  • Collaborate with other attorneys and legal staff on complex legal matters.
  • Participate in business development activities to attract and retain clients.

Requirements

  • 3-5 years of experience in investment management law, including representation of registered investment companies, private funds, and investment advisers.
  • Extensive knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and related regulations.
  • Excellent writing and drafting skills.
  • Strong attention to detail.
  • Proactive, can-do, problem-solving attitude.
  • Intrinsic motivation and ability to work independently.
  • Strong academic credentials.
  • Experience working in a large law firm is preferred.

Education and Certifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Bar in Pennsylvania.
