Corporate Paralegal The candidate will organize and preserve legal documents. Maintain the archive (electronic and hard copy) of the legal records of Board and Committee meetings, including the execution of corporate minutes and board resolutions. Will assist the Board of Directors and Corporate Secretary in managing the books and records of firmâ€™s subsidiary corporations and joint ventures. Update the company's corporate subsidiary legal data base. Coordinate requests to form new legal entities, appoint new subsidiary officers or merge or dissolve corporate subsidiaries. Answer basic questions from company lawyers and operating personnel regarding subsidiary names, structure, officers, etc. Assist with general corporate record keeping and filings. Prepare powers of attorney and obtaining Apostilles required for documents in foreign jurisdictions. Maintain accurate stock holding records. Assist Counsel in providing legal support to the human resource department. Assist with North America contract administration including reviewing, drafting, redlining, summarizing, negotiating, and revising contract language and non-disclosure agreements. Create, maintain and administer contract database. Work with outside legal counsel, insurance brokers, and various governmental agencies as necessary. Special projects as requested by the Global CFO and other managers. Other duties as assigned. Bachelor's degree (B. A.) preferred, and/or a paralegal certificate from an accredited program. Must have 5+ years of paralegal experience with a background in corporate law who has experience in preparing and maintaining corporate records, and direct interactions with senior partners. Intermediate skills in PowerPoint, Word (e.g., create and format tables, construct charts, manage templates) and Excel are required. Should have strong communication skills and have the ability to manage workflow and shifting priorities. Previous experience at a multinational company with global operations is preferred.
