General Counsel The candidate will provide effective and strategic advice and analysis to company, its executives and its Board of Directors regarding corporate initiatives, strategic alliances, mergers and acquisitions, risk management, regulatory, governance and all other legal and compliance matters. Will participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters. Formulate, implement and manage internal governance policies to ensure global regulatory and legal compliance. Develop and lead strategic solutions to complex multi-national risk management matters. Anticipate and identify legal risks globally, and use critical thinking to provide proactive and strategic solutions to eliminate or mitigate those risks. Review, draft, negotiate and enforce a broad range of complex contracts by working collaboratively with business and functional teams. Provide practical legal advice and support across all business functions including Sales, Business Development, Product Management, Marketing and Human Resources. Actively partner in execution of corporate M&A, business development, and partnership transactions. Ensure protection of intellectual property including trademarks, copyrights, patents, and trade secrets. Structure, manage and mentor members of the legal team. Implement best practices and operating standards. Select and manage outside counsel as necessary.
Qualification and Experience
The candidate should have JD Degree from a top Tier-Law School. Should have 10+ years of experience at a top Tier Law firm In-House legal department (Experience to include: antitrust, financing, SEC and public company reporting, corporate governance, mergers and acquisitions, intellectual property management and licensing, legal and regulatory compliance, international and cross border transactions, data privacy, and establishing international entities). Must be excellent business and legal judgment with an ability to provide strategic value as a true partner office of our client seeks desired. Experience managing and developing a team of attorneys experience with cost-effective management of outside legal resources is needed.
