Corporate Counsel, Commercial Contracts The candidate will negotiate MSAs, Data Protection Addendums (DPAs), SOWs, order forms, NDAs, partnership agreements, vendor contracts, and other related contracts to support sales and operations on time-sensitive matters. Provide legal/contractual/strategic advice to the sales team. Interpret business requirements into legal/contractual requirements and vice versa. Analyze and mitigate potential risks involved with specific contract terms and corporate strategies. In collaboration with the legal team, create, maintain, and update internal contract templates and commercial strategies to support of the business. Serve as primary contact for internal and external contract-related inquiries. Stay current on relevant industry, commercial, IP, privacy, and other laws, regulations, and developments that affect the company’s operations. Assist with various legal projects to support the company as it scales. Should have 3-7 years of experience in a large law firm and/or in-house legal department demonstrating ability to lead customer-facing negotiations of commercial contracts (e.g., NDAs, SaaS Agreements, Professional Services Agreements, Service Level Agreements and Partner Agreements), ideally on behalf of SaaS-based companies. Experience interpreting contractual terms and conditions and guiding sales teams and business leaders regarding contractual obligations. Strong writing, drafting, editing and communication skills, including the ability to think creatively to overcome objections and identify solutions to opposing positions during contract negotiations, with an attention to detail. Ability to work independently with excellent business judgment and the ability to assess legal risk while also thinking strategically and providing sound, practical advice under tight deadlines. Flexibility to adapt and grow with the company and a positive, collaborative approach to problem-solving. Demonstrated understanding of intellectual property, licensing, privacy, data security, and commercial laws. Ability to work cross-functionality with different departments to reach a consensus on whether to accept non-standard contract terms. Must have a law degree from an accredited law school and admission to and active status in at least one State Bar.
