A law firm seeks a skilled Associate to join their Global Finance team in Los Angeles. This role requires significant expertise in asset-backed securitizations and structured finance transactions, focusing on complex financial structures. The Associate will handle a variety of securitization deals and contribute to impactful projects within both the public and private sectors.

Duties

  • Draft and negotiate offering documents, transaction agreements, and related legal documents for a variety of parties, including underwriters, initial purchasers, issuers, and lenders.
  • Manage structured finance transactions across multiple asset types, including CMBS (commercial mortgage-backed securities), RMBS (residential mortgage-backed securities), CLOs (collateralized loan obligations), and other unique asset classes.
  • Oversee both public offerings and private structured lending transactions, providing legal advice and support to ensure compliance with applicable regulations.
  • Coordinate with multiple stakeholders to ensure smooth execution of deals, addressing any legal complexities as they arise.

Requirements

  • Minimum of three years of experience in asset-backed securitizations and structured finance, with exposure to various securitization structures and assets.
  • Proficiency in drafting, negotiating, and finalizing complex legal documents related to securitization transactions.
  • Strong knowledge of financial regulations and legal standards applicable to public and private asset-backed securities offerings.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Must be admitted or eligible for admission to the California State Bar.

  • Expertise in structured finance and securitization law, with a focus on asset-backed securities.
  • Exceptional written and verbal communication skills, particularly in the context of drafting legal documents.
