Profile

Legal Services Administrator The candidate will provides legal guidance to company management and departments. Will manage a variety of official company records including corporate business records, professional services, consulting, and vendor agreements, leases, and nondisclosure agreements, and incident reports. Will provides risk management support and oversight. Provide responsive and timely legal and contract management support to internal departments. Manage the company database for corporate business records, contracts and incident reports. Work with company personnel and legal counsel as well as the other party representatives to ensure each proposed contract reflects acceptable and agreed-upon revisions between the parties. Ensure that all contract routing approvals are obtained prior to contract signing and are signed by only authorized company personnel. Responsible for notifying departments of contract renewal and termination dates and ensure the proper resolution for each contract, in consultation with legal counsel as necessary. Provide telephone, email and in-person follow-up as necessary for both contracts and incident reports. Work with compliance and risk management personnel to train company employees. Investigate, research and analyze incident report data. Maintain confidentiality and diplomacy at all times. Work with Corporate Counsel to draft and revise legal documents including contracts, non-disclosure agreements, settlement agreements and other corporate documents detailed more fully below. Work with Risk Management Director to review, investigate and respond to internal incident reports, including communication with domestic and maritime insurance carriers. Responsible for the administration, maintenance and retention of official corporate records, including key documents of governance such as Bylaws, Board of Director minutes, and corporate records for the company and its subsidiaries such as consents, resolutions, secretary and incumbency certificates, bank accounts, property/operational matters, etc .Assist with the filing of annual reports in states in which entities are qualified to do business and maintain good standing and existence of all Canyon Ranch entities in every state in which it is qualified to do business. Manage Canyon Ranch corporate subsidiaries information including: tracking and maintaining current and historical information; third party information; officers and directors and signatory levels; subsidiaries and ownership; jurisdictional and incorporation data; organizational chart on all entities, including the parent subsidiary ownership structure; entity status: active, dormant, dissolved, liquidated, registration information (i.e., date of registration, charter number, tax number (FEIN number), registration number); and contact information (by various stakeholders), officeholder information (directors/officers/shareholders). Work with Corporate Counsel as well as outside counsel in the due diligence, closing and post‐closing of transactional matters and manage all related documentation. Collaboration: Work with internal clients and external third parties including vendors and service providers in drafting, negotiating and revising contracts. Provide support and advice to internal departments in the absence of the Corporate Counsel or Risk Management Director. Assist Corporate Counsel and outside counsel in legal matters including the formation and dissolution of entities, responses to subpoenas or court orders, depositions, and general corporate legal work.

Qualification and Experience

The candidate should have J.D., M.B.A. or other advanced degree a plus. -OR- Any combination of academic education, professional training or work experience, which demonstrates the ability to perform the duties of the position. Should have 3 - 5 years of professional-level contract experience. Experience working as an attorney, advanced paralegal, or risk manager desirable. Experience working in corporate, health care, insurance or government settings a plus. Excellent communication skills both orally and in writing; strong analytical skills; strong interpersonal skills. Law license or paralegal certification preferred.
